The Sanoodi service and network (collectively, "Sanoodi" or "the Service") is operated by Sanoodi Limited, (collectively, "us", "we" or "the Sanoodi").</p>
<p>By accessing or using our web site at www.Sanoodi.com or the mobile version thereof (together the "Site"), you (the "User") signify that you have read, understand and agree to be bound by these Terms of Use ("Terms of Use" or "Agreement"), whether or not you are a registered member of Sanoodi. We reserve the right, at our sole discretion, to change, modify, add, or delete portions of these Terms of Use at any time without further notice. If we do this, we will post the changes to these Terms of Use on this page and will indicate at the top of this page the date these terms were last revised. Your continued use of the Service or the Site after any such changes constitutes your acceptance of the new Terms of Use. If you do not agree to abide by these or any future Terms of Use, do not use or access (or continue to use or access) the Service or the Site. <p>Sanoodi currently provides users with access to create one of the world's leading activity-based social networking website for participants in sports and leisure activities that involve moving from A to B (e.g. jogging, walking, cycling, kayaking and dozens of others, by way of capturing interest and hobbies of users, and enable them to share and group their activities with people from around theworld (the “Service”). Unless explicitly stated otherwise, any new features enhance the current Service, including the release of new Sanoodi properties and features to the Site, shall be subject to these Terms of Use. You acknowledge and agree that the Service is provided "AS IS" and that Sanoodi assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personalisation settings, as well as the accuracy and completeness of any Content(as defined below) on the Site</p>
<p><H2>2.Eligibility, your registration obligations, and supervision of children</H2></p>
<p>Membership in the Service is void where prohibited, and may be rejected, refused, or terminated at the sole discretion of Sanoodi. In consideration of your use of the Service, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Service's registration form (such information being the "Registration Data") and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete at all times; (c) be fully responsible for your account and for any actions that take place using your account. If you provide any information that is untrue, inaccurate, not current or incomplete, or Sanoodi has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Sanoodi has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof), with or without notice to You.</p>
<p>You also agree to provide true, accurate, current and up to date complete information in respect of all Content (as defined below) posted by you, or through your user account, whether this be by you or by any authorised/unauthorised use of your account.</p>
<p>Sanoodi is concerned about the safety and privacy of all its users, particularly children. Parents who wish to allow their children access to the Service should assist them in setting up any relevant accounts and supervise their access to the Service, ensuring that all registration Data is correct at all times, and they are content with the disclosure being made on the Site. By allowing your child access to the Service, they will be able to access all of the Services currently provided, or provided in the future, as well as join groups on various activities and possibly arrange meetings to attend certain activities as part of a group. Please remember that the Service is designed to appeal to a broad audience to promote health and fitness, and therefore communication with other users is very well expected. Accordingly, as the legal guardian, it is your responsibility to determine whether any of the Services and/or Contents(as defined in Section 5 below) areappropriate for your child, and whether they should participate on any routes, events organised and/or posted by other Users.</p>

<p><H2>4.Account Security and Member Account</H2></p>
<p>When you sign up to become a Member, you will be asked to choose a username and a password for your Member profile. It is your responsibility to ensure that your username and password is kept confidential, and not divulged in any way, and are fully responsible for all activities that occur under your password or account. You agree to notify us immediately if you suspect any unauthorised use of your Member profile or access to your password. You agree not to use the Member profile, username, or password of another Member at any time. Sanoodi cannot not be held liable for any loss or damage arising from your failure to comply with this Section 4, or any section thereof.</p>
<p><H2>5.User Conduct</H2></p>
<p>You acknowledge that all information, data, text, software, music, sound, photographs, graphics, video, messages, routes, organisation of group gatherings, events, and any other materials generated on the Site, for the use and viewing purpose of you and other Users ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that you, and not Sanoodi are entirely responsible for vetting Content that you upload, post, email, rely on, or attend to or otherwise transmit via the Service.</p>
<p>Sanoodi does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content, nor does it verify the accuracy of any route posted, or the safety implications of taking part in any such route found on the Site, as well as the quality, structure and suitability of any group or event organised and/or posted by any User on the Site. In addition to this, Sanoodi does not vet any routes, or confirms the accuracy of any timingsof any routes, or whether a particular route or event by a User may even take effect. You acknowledge that by using the Service, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will Sanoodi be liable in any way for any Content, including, but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed or otherwise transmitted via the Service.</p>
<p>You agree to not use the Service to:</p>
<p>upload, post, email or otherwise transmit any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libellous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
harm minors or any Userin any way;</p>
<p>harvest or collect email addresses or other contact information of other users from the Service or the Site by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;</p>

<p>upload, post, email or otherwise transmit any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party;
upload, post, email or otherwise transmit any unsolicited or unauthorised advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, except in those areas (such as shopping rooms) that are designated for such purpose;</p>
<p>use the Service or the Site in any unlawful manner or in any other manner that could damage, disable, overburden or impair the Site;</p>
<p>upload, post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, damage, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;</p>
<p>disrupt the normal flow of dialogue, cause a screen to "scroll" faster than other users of the Service are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges;</p>
<p>interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;</p>
<p>intentionally or unintentionally violate any applicable law or regulation including, but not limited to, regulations promulgated by any securities exchange;</p>
<p>"stalk" or otherwise harass another memberby eithercommunication through the Site, or through usage of Content, or usage of Sanoodi’s positional aspect of the Site; or</p>
<p>extract, collect, process, combine or store personal data about other users.</p>
<p>Upload routes or events, or any other material on the Site, knowing full well that it is inaccurate, and may result in harm to Users and the public</p>
<p>You acknowledge that Sanoodi does not pre-screen Content, but that Sanoodi and its designees shall have the right (but not the obligation) in their sole discretion to refuse or move any Content that is available via the Service. Without limiting the foregoing, Sanoodi and its designees shall have the right to remove any Content that violates the these terms or is otherwise objectionable, or appears to be inaccurate or unsafe. You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, usefulness or safety of such Content, as well as any dangers associated with relying on such content, and the safety implications of relying on such Content. In this regard, you acknowledge that you may not rely on any Content created by Sanoodi or submitted to Sanoodi by other Users including without limitation information in all other parts of the Service.</p>
<p>You acknowledge that Users of the Content and Service may access and view routes posted by you, and may access live positional data on you, despite this data being delayed by up to 15 minutes.</p>
<p>You agree that Sanoodi may access, preserve, and disclose your account information and Content: (a) to its affiliated companies worldwide for the purpose of providing the Content to you in an efficient manner; (b) for the purpose of properly administering your account in accordance with the standard operating procedures of Sanoodi or its affiliated companies; (c) if required to do so by law or in the good faith belief that any such access, preservation or disclosure is reasonably necessary to: (i) comply with legal process; (ii) enforce the TOS; (iii) respond to claims that any Content violates the rights of third-parties; (iv) respond to your requests for customer service; or (v) protect the rights, property, or personal safety of Sanoodi, its users and the public.</p>
<p><H2>6.Proprietary Rights in Site Content</H2></p>
<p>All content on the Site and available through the Service, including designs, text, graphics, pictures, video, information, applications, software, music, sound and other files, and their selection and arrangement (the "Site Content"), are the proprietary property of the Sanoodi, its users or its licensors with all rights reserved. No Site Content may be modified, copied, distributed, framed, reproduced, republished, downloaded, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, without the Sanoodi's prior written permission, except that the foregoing does not apply to your own User Content (as defined below) that you legally post on the Site. Provided that you are eligible for use of the Site, you are granted a limited license to access and use the Site and the Site Content and to download or print a copy of any portion of the Site Content to which you have properly gained access solely for your personal, non-commercial use, provided that you keep all copyright or other proprietary notices intact. Except for your own User Content, you may not upload or republish Site Content on any Internet, Intranet or Extranet site or incorporate the information in any other database or compilation, and any other use of the Site Content is strictly prohibited.</p>
<p><H2>7.Trademarks</H2></p>
SANOODI, and its respective logos and images, and other Sanoodi graphics, logos, designs, page headers, button icons, scripts and service names are registered trademarks, trademarks of Sanoodi inthe UK, and/or other countries. Sanoodi's trademarks and trade dress may not be used, including as part of trademarks and/or as part of domain names, in connection with any product or service in any manner that is likely to cause confusion and may not be copied, imitated, or used, in whole or in part, without the prior written permission of the Sanoodi.</p>
<p><H2>8.Sanoodi Mobile Services</H2></p>
The Service includes certain services that are available on your mobile phone, and maybe transmitted to another persons phone, including (i) the ability to upload Content to your Sanoodi account, on the Site, (ii) the ability to send data, in particular maps and routes or event postings to other people’s mobile devices, whether they are registered members or not; (iii) ability to browse the Site, or member accounts, from the mobile device,(Mobile Web) and (iv) the ability to access certain Sanoodi features through a mobile application you have downloaded and installed on your mobile phone (Mobile Client) (collectively the "Mobile Services"). We do not charge for these Mobile Services, however this is subject to change. However, your mobile operators/carrier's (“Carrier”) normal messaging, data and other rates and fees will still apply. You should check with your Carrier to find out what plans are available and how much they cost. In addition, downloading, installing, or using certain Mobile Services may be prohibited or restricted by your Carrier, and not all Mobile Services may work with all Carriers or devices. Therefore, you should check with your Carrier to find out if the Mobile Services are available for your mobile devices, and what restrictions, if any, may be applicable to your use of such Mobile Services. By using the Mobile Services, you agree that we may communicate with you regarding Sanoodi and any other entities that may come about, by SMS, MMS, text message or other electronic means to your mobile device and that certain information about your usage of the Mobile Services may be communicated to us.</p>

<p><H2>9.Third Party Websites and Contents</H2></p>
<p>The Site contains (or you may be sent through the Site or the Service) links to other web sites ("Third Party Sites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software and other content or items belonging to or originating from third parties (the "Third Party Applications, Software or Content"). Such Third Party Sites and Third Party Applications, Software or Content are not investigated, monitored or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third Party Sites accessed through the Site or any Third Party Applications, Software or Content posted on, available through or installed from the Site, including the content, accuracy, offensiveness, opinions, reliability, privacy practices or other policies of or contained in the Third Party Sites or the Third Party Applications, Software or Content. Inclusion of, linking to or permitting the use or installation of any Third Party Site or any Third Party Applications, Software or Content does not imply approval or endorsement thereof by us. If you decide to leave the Site and access the Third Party Sites or to use or install any Third Party Applications, Software or Content, you do so at your own risk and you should be aware that our terms and policies no longer govern. <p>You are solely responsible for your interactions with other Sanoodi users. We reserve the right, but have no obligation, to monitor disputes between you and other users.</p>
<p><H2>12.Modifications of Service</H2></p>
<p>Sanoodi reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Sanoodi shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.</p>
<p><H2>13.Dealings with Advertisers (also referred to as Hubs”) on the Site</H2></p>
<p>Sanoodi offers users, whether business or individuals, the opportunity to offer their own events and products for sale on the Site through their individual member accounts for the benefit and attentions of its Users. Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. To the fullest extent permitted by applicable law, you agree that: (a) Sanoodi shall not be responsible or liable for any loss or damage of any kind incurred as the result of any such dealings or as the result of the presence of such advertisers and merchants on the Service, and (b) any orders placed by you on, and any product specifications and product availability appearing on, the Service are subject to confirmation by, and the terms and conditions of business of, the relevant Advertiser.</p>
<p><H2>14.Links</H2></p>
<p>The Service may provide, or third parties may provide, links to other World Wide Web sites or resources. Sanoodi does not have control overall sites and resources that appear on the Sannodisite, or within the Content, whether this is created by Users or Sanoodi itself. You acknowledge and agree that Sanoodi is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that Sanoodi shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource.</p>
<p><H2>15.Disclaimers</H2></p>
<p>Sanoodi is not responsible or liable in any manner for any User Content or Third Party Applications, Software or Content posted on the Site or in connection with the Service, whether posted or caused by users of the Site, by Sanoodi, by third parties or by any of the equipment or programming associated with or utilised in the Site or the Service. Although we provide rules for user conduct and postings, we do not control and are not responsible for what users post, transmit or share on the Site and are not responsible for any offensive, inappropriate, obscene, unlawful or otherwise objectionable content you may encounter on the Site or in connection with any User Content or Third Party Applications, Software or Content. Sanoodi is not responsible for the conduct, whether online or offline, of any user of the Site or Service.</p>
<p>Sanoodi does not vouch, verify, or take responsibility for any route or event, or any Content for that matter, on the Website. Every member must verify the content it views before taking part in any event, activity, route, or organised group event discovered on the Site.</p>
<p>The Site and the Service may be temporarily unavailable from time to time for maintenance or other reasons. Sanoodi assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorised access to, or alteration of, User communications. Sanoodi is not responsible for any technical malfunction or other problems of any telephone network or service, computer systems, servers or providers, computer or mobile phone equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any Site or combination thereof, including injury or damage to User's or to any other person's computer, mobile phone, or other hardware or software, related to or resulting from using or downloading materials in connection with the Web and/or in connection with the Service, including any Mobile Client software. Under no circumstances will Sanoodi be responsible for any loss or damage, including any loss or damage to any User Content or personal injury or death, resulting from anyone's use of the Site or the Service, any User Content or Third Party Applications, Software or Content posted on or through the Site or the Service or transmitted to Users, or any interactions between users of the Site, whether online or offline.</p>
<p>Sanoodi reserves the right to change any and all content, software and other items used or contained in the Site and any Services offered through the Site at any time without notice. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof, or any affiliation therewith, by Sanoodi.</p>

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SANOODI EXPRESSLY DISCLAIMS ALL WARRANTIES, CONDITIONS AND OTHER TERMS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO ANY IMPLIED TERM OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND ANY TERM AS TO THE PROVISION OF SERVICES TO A STANDARD OF REASONABLE CARE AND SKILL OR AS TO NON-INFRINGEMENT OF ANY INTELLECTUAL PROPERTY RIGHT.</p>
<p>SANOODI MAKES NO WARRANTY OR REPRESENTATION THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE ROUTES OR GROUP EVENTS, OR ANY USER ORGANISED EVENT IS ACCURATE, RELIABLE, SAFE TO ATTEND, (v) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, AND (vi) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.</p>
<p>ANY MATERIAL, INCLUDING ROUTE OR EVENT DETAILS DOWNLOADED, OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.</p>
<p>NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM SANOODI OR THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY OR OTHER OBLIGATION NOT EXPRESSLY STATED IN THESE TERMS OF SERVICE.</p>
<p><H2>16.Limitation on Liability</H2></p>
<p>IN NO EVENT WILL SANOODI OR ITS DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE TO YOU OR ANY THIRD PERSON FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING FOR ANY LOST PROFITS OR LOST DATA ARISING FROM YOUR USE OF THE SITE OR THE SERVICE, ANY PLATFORM APPLICATIONS OR ANY OF THE SITE CONTENT OR OTHER MATERIALS ON, ACCESSED THROUGH OR DOWNLOADED FROM THE SITE, EVEN IF SANOODI IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, SANOODI'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO SANOODI FOR THE SERVICE DURING THE TERM OF MEMBERSHIP, BUT IN NO CASE WILL THE SANOODI'S LIABILITY TO YOU EXCEED £50. YOU ACKNOWLEDGE THAT IF NO FEES ARE PAID TO SANOODI FOR THE SERVICE, YOU SHALL BE LIMITED TO INJUNCTIVE RELIEF ONLY, UNLESS OTHERWISE PERMITTED BY LAW, AND SHALL NOT BE ENTITLED TO DAMAGES OF ANY KIND FROM SANOODI, REGARDLESS OF THE CAUSE OF ACTION.</p>
<p><H2>17.Termination</H2></p>
<p>Sanoodi may terminate your membership, delete your profile and any content or information that you have posted on the Site and/or prohibit you from using or accessing the Service or the Site (or any portion, aspect or feature of the Service or the Site) for any reason, or no reason, at any time in its sole discretion, with or without notice.</p>
<p><H2>18.GOVERNING LAW AND JURISDICTION</H2></p>
<p>These Terms of Use shall be governed by and construed in accordance with English law. Disputes arising in connection with this legal notice shall be subject to the exclusive jurisdiction of the English courts.</p>
<p><H2>19.Indemnity</H2></p>
<p>You agree to indemnify and hold the Sanoodi, its subsidiaries and affiliates, and each of their directors, officers, agents, contractors, partners and employees, harmless from and against any loss, liability, claim, demand, damages, costs and expenses, including reasonable attorney's fees, arising out of or in connection with any User Content, any Third Party Applications, Software or Content you post or share on or through the Site (including through the Share Service), your use of the Service or the Site, your conduct in connection with the Service or the Site or with other users of the Service or the Site, or any violation of this Agreement or of any law or the rights of any third party.</p>
<p><H2>20.Submissions</H2></p>
<p>You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Site or the Service ("Submissions"), provided by you to Sanoodi are non-confidential and shall become the sole property of Sanoodi. Sanoodi shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.</p>
<p>These Terms of Use constitute the entire agreement between you and Sanoodi regarding the use of the Site and/or the Service, superseding any prior agreements between you and Sanoodi relating to your use of the Site or the Service. The failure of Sanoodi to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision in that or any other instance. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.
